MERCHANT POLICY

Merchant Agreement USA

This Merchant Agreement (“Agreement”) is entered into between Glenn Tech LLC DBA Preplex (“Preplex,” “we,” “our,” or “us”), located at 870 Green St, Iselin, NJ 08830, and the person or entity (“Merchant,” “you,” or “your”) using Preplex’s ticketing, event management, and venue booking services (the “Services”).

By creating a Merchant account or using our Services to sell tickets, process bookings, or receive payments, you agree to this Agreement, our Terms of Service, and Privacy Policy.

1. Scope of Services

Preplex provides Merchants with tools to create, manage, and promote events or venue bookings, process online payments, and access related reporting features.
Preplex acts as a limited payment collection agent for Merchants in connection with attendee and customer transactions.

2. Merchant Responsibilities

  • You are solely responsible for the operation, legality, and quality of your events, products, and services.

  • You must obtain and maintain all necessary licenses, permits, and insurance required by law.

  • You must comply with all applicable laws, rules, and regulations, including tax laws and consumer protection requirements.

  • You agree to provide accurate and up-to-date business and contact information at all times.

3. Payment Processing

  • Preplex will process payments from customers on your behalf and remit the net proceeds to you after deducting applicable fees, taxes, chargebacks, and adjustments.

  • Payments will be made to your designated payout account, subject to applicable settlement periods and verification procedures.

  • Preplex may withhold payouts if we suspect fraudulent activity, disputes, or policy violations.

4. Fees

  • Service fees, processing fees, and any other applicable charges will be disclosed during account setup or in your Merchant dashboard.

  • Preplex reserves the right to adjust fees with at least 30 days’ prior written notice.

5. Refunds and Chargebacks

  • You are solely responsible for establishing and communicating your refund policy to customers.

  • If you authorize a refund or if a chargeback occurs, Preplex may deduct the refunded or disputed amount, along with any associated fees, from your payouts.

  • In the event of excessive chargebacks or disputes, Preplex may require a reserve account or other security measures.

6. Taxes

  • You are solely responsible for determining, collecting, reporting, and remitting any sales, use, value-added, or other taxes applicable to your events or bookings.

  • Preplex may collect and remit taxes where legally required, but such collection does not relieve you of your obligations under applicable law.

7. Term and Termination

  • This Agreement begins when you first use the Services and continues until terminated by either party.

  • Preplex may suspend or terminate your account immediately if you breach this Agreement, violate our Terms of Service, or engage in fraudulent or unlawful activity.

  • Upon termination, Preplex will settle any outstanding payments due to you, subject to deductions for refunds, chargebacks, and fees.

8. Representations and Warranties

You represent and warrant that:

  • You have full power and authority to enter into and perform under this Agreement.

  • Your events, products, and services do not infringe any third-party rights or violate applicable laws.

9. Limitation of Liability

To the maximum extent permitted by law, Preplex will not be liable for indirect, incidental, or consequential damages.
Our total liability to you is limited to the total fees paid to Preplex in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Preplex, its affiliates, and their respective officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your events, products, or services

  • Your breach of this Agreement

  • Your violation of applicable laws or third-party rights

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of New Jersey, USA, without regard to conflict of law rules. Any dispute shall be resolved through binding arbitration in Middlesex County, New Jersey, in accordance with the arbitration provisions in the Preplex Terms of Service.

12. Miscellaneous

  • This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between the parties.

  • If any provision is found unenforceable, the remainder will remain in effect.

  • We may amend this Agreement at any time by posting an updated version on our website and providing notice to you.
